Terms of Service
These Terms of Service govern your access to and use of the HealthOS platform, provided by Jwebly Ltd (trading as Jwebly Health), registered in England and Wales (Company No. 16122803).
1. Acceptance of terms
By accessing or using HealthOS, you agree to be bound by these Terms. If you are accepting on behalf of a company or clinic, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the platform.
2. The platform
HealthOS is a software-as-a-service platform providing AI-powered operational tools for private healthcare clinics, including patient management, clinical record keeping, compliance monitoring, and AI agent infrastructure. The platform is provided on a subscription basis and is configured and onboarded by the Jwebly team.
3. Subscription and payment
Access to HealthOS requires a paid subscription. Subscription fees are billed monthly in advance. Founding client rates are locked at the agreed price for the duration of an active subscription. Payments are processed via Stripe. We reserve the right to adjust pricing for new subscriptions with 30 days notice. No refunds are issued for partially used billing periods unless required by applicable law.
4. Your responsibilities
You agree to:
- Use the platform only for lawful purposes and in accordance with applicable regulations, including UK GDPR, the Data Protection Act 2018, and CQC requirements
- Maintain the security of your account credentials and notify us immediately of any unauthorised access
- Ensure that any patient data entered into the platform is done so with appropriate legal basis and patient consent
- Not attempt to reverse engineer, copy, or redistribute any part of the platform
- Not use the platform in any way that could harm, disable, or impair its availability to other users
5. AI agents and clinical responsibility
HealthOS includes AI agents designed to assist with clinical administration, documentation, and communication. These agents are operational tools. They do not constitute medical advice, clinical diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of the qualified healthcare professionals using the platform. Jwebly Ltd accepts no liability for clinical outcomes resulting from the use of AI-generated content.
6. Data processing
In connection with your use of HealthOS, Jwebly Ltd acts as a data processor on your behalf in respect of patient and clinical data. A Data Processing Agreement (DPA) is available and forms part of your subscription agreement. You remain the data controller for all patient data processed through the platform.
7. Intellectual property
All intellectual property rights in the HealthOS platform, including its software, AI models, designs, and documentation, are owned by Jwebly Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to access and use the platform for your internal clinic operations. No rights are transferred to you beyond this licence.
8. Limitation of liability
To the maximum extent permitted by law, Jwebly Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including loss of data, revenue, or business. Our total aggregate liability shall not exceed the fees paid by you in the 12 months preceding the claim. Nothing in these Terms limits liability for death, personal injury caused by negligence, or fraud.
9. Termination
You may cancel your subscription at any time. Access continues until the end of the current billing period. We may suspend or terminate your access immediately if you breach these Terms or if your use poses a security or legal risk. On termination, your data will be deleted in accordance with our Privacy Policy.
10. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
